Agreement to Terms

By accessing and using the services provided by Muum AI Labs ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Description of Services

Muum AI Labs provides elite AI product engineering services, including but not limited to:

• AI product development and architecture
• Technical co-founding partnerships
• Enterprise software development
• AI consulting and advisory services
• Team building and technical leadership
• SaaS marketing and growth optimization

Partnership Models

Equity Co-Founding

When engaging in equity partnerships, specific terms will be outlined in separate partnership agreements. Equity arrangements are subject to due diligence and mutual agreement on valuation and ownership structures.

Development Services

Development services are provided under separate statements of work (SOW) that detail project scope, timelines, deliverables, and payment terms.

Advisory Services

Advisory engagements are governed by separate advisory agreements that specify the nature and extent of advisory services provided.

Intellectual Property

Client IP

Clients retain ownership of their pre-existing intellectual property and any IP specifically developed for their unique business requirements, subject to the terms of individual project agreements.

Company IP

Muum AI Labs retains ownership of its pre-existing intellectual property, methodologies, frameworks, and general knowledge developed independently of client engagements.

Joint IP

Intellectual property developed jointly during engagements will be addressed in specific project agreements, with ownership and usage rights clearly defined.

Confidentiality

We maintain strict confidentiality regarding all client information, business strategies, and proprietary data. Detailed confidentiality terms are established through separate Non-Disclosure Agreements (NDAs) executed prior to substantive discussions.

Payment Terms

Payment terms vary by engagement type:

• Development Projects: Milestone-based payments as outlined in SOWs
• Equity Partnerships: Compensation through equity as defined in partnership agreements
• Advisory Services: Monthly or quarterly payments as specified in advisory agreements
• Consulting: Hourly or project-based rates as agreed upon

Warranties and Disclaimers

While we strive for excellence in all our services, we provide our services "as is" without warranties of any kind, except as specifically outlined in individual project agreements. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

Limitation of Liability

To the maximum extent permitted by law, Muum AI Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Termination

Either party may terminate services under the conditions specified in individual project agreements. Termination procedures, including transition of work and final payments, will be handled according to the terms of specific engagements.

Dispute Resolution

Any disputes arising from our services will be resolved through good faith negotiation. If resolution cannot be achieved, disputes will be subject to binding arbitration in accordance with the rules of the American Arbitration Association.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Muum AI Labs is incorporated, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified Terms.

Severability
